Removal, replacement, or rebranding of these marks in any fork or Derivative Work does NOT extinguish Fincept Corporation's rights in the underlying Software, nor does it sever the licensing obligations attaching to the codebase. The Fincept Trade Dress — including screen layouts, color palette, terminal command syntax, ticker conventions, function-code conventions, keyboard shortcut conventions, dashboard widget vocabulary, and overall visual identity of Fincept Terminal — is also protected. ASSIGNMENT AND LICENSE-IN. To the maximum extent permitted by law, each contribution is a work made for hire owned by Fincept Corporation. To the extent any contribution is not a work made for hire, the contributor hereby presently and unconditionally ASSIGNS to Fincept Corporation all right, title, and interest in and to the contribution, including all copyright, moral rights (waived to the maximum extent permitted), and related rights. Without limiting the foregoing, the contributor grants Fincept Corporation a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, sublicensable license — with the right to sublicense through multiple tiers — to use, reproduce, modify, distribute, sublicense, and relicense the contribution under AGPL-3.0, the Fincept Commercial License, and any future license selected by Fincept Corporation. 2. NO JOINT AUTHORSHIP. Each contributor expressly disclaims any claim of joint authorship in the Software as a whole or in any other contributor's contributions. Contributing does NOT grant the contributor any license to the Software as a whole, to any other contributor's contributions, or to Commercial Use of the Software. 3. WARRANTY AND INDEMNITY. Each contributor warrants that (a) the contribution is the contributor's original work or is properly attributed and licensed for the contribution; (b) the contributor has the legal right to make the contribution and grant the rights herein; (c) the contribution is free of any obligations to any current or former employer, client, university, or third party that would conflict with this assignment; and (d) the contribution does not infringe any third-party rights. The contributor shall indemnify, defend, and hold harmless Fincept Corporation from any breach of these warranties. 4. AS-IS. Contributions are provided "AS IS" without warranties of any kind beyond the warranties in Section 3 above. 5. NO COMMERCIAL RIGHTS BACK. Contributing does NOT grant the contributor Commercial Use rights, license-back rights, or access to Fincept Data Sources or APIs for commercial purposes. ================================================================================ WHEN A COMMERCIAL LICENSE IS REQUIRED ================================================================================ You NEED a Commercial License if you: - Use Fincept Terminal for any business purpose, paid or free - Use Fincept Terminal internally at a company, fund, or for-profit entity (regardless of whether it is exposed to third parties) - Are a startup at any stage, including pre-revenue and pre-product - Are a hedge fund, prop firm, bank, brokerage, asset manager, family office, fintech, or exchange - Offer Fincept Terminal as SaaS, PaaS, or any hosted service - White-label, rebrand, distribute, or resell Fincept Terminal - Maintain or operate a fork that strips or replaces Fincept APIs and use it commercially or internally - Engage a third-party developer, integrator, or consultancy to build, modify, deploy, host, or customize Fincept Terminal for any of the above You do NOT need a Commercial License if you: - Use Fincept Terminal for personal learning on your own machine - Are an individual student conducting non-commercial research - Are contributing to the open-source project When in doubt, assume a Commercial License is required and email support@fincept.in. ================================================================================ ENFORCEMENT, PENALTIES & LIABILITY ================================================================================ Fincept Corporation actively monitors public code repositories, container registries, application stores, cloud marketplaces, SaaS platforms, and trademark registers for unlicensed Commercial Use of Fincept Terminal, Modified Versions, and Derivative Works. Unauthorized Commercial Use is subject to liquidated damages, including (without limitation): * USD 50,000 per organization per year for unauthorized internal corporate use (or 5x the then-current Commercial License fee, whichever is greater) * USD 250,000 per offering for unauthorized SaaS, hosting, or resale, plus full disgorgement of revenue * USD 100,000 per organization for unauthorized fork-and-replace-API deployments, plus 5x the Commercial License fee for each year of use * USD 150,000 per element for unauthorized use of Fincept Marks or Fincept Trade Dress * USD 10,000 per day for continued use after notice of breach In addition, Fincept Corporation will pursue: - Backdated license fees from the date of first unauthorized use, with 18% annual interest - Disgorgement of all profits, revenue, and cost savings derived from unauthorized use - DMCA takedowns (17 U.S.C. § 512), notices under the Information Technology Act, 2000 (India), and equivalent foreign statutes - Cease-and-desist letters and civil action for copyright and trademark infringement - Criminal complaints under the Copyright Act, 1957 (India) §§ 63-63B and equivalent foreign laws - All attorneys' fees, court costs, expert fees, and investigation costs JOINT AND SEVERAL LIABILITY. Any organization that engages, hires, or contracts with a third-party developer, integrator, IT consultancy, outsourcing vendor, freelancer, or offshore development center to build, modify, deploy, fork, host, or customize Fincept Terminal or any Derivative Work shall be JOINTLY AND SEVERALLY LIABLE with that third party for any unauthorized Commercial Use, breach of license, or infringement. The contracting company cannot escape liability by claiming that the developer was solely responsible. Liability extends to parents, subsidiaries, affiliates, successors, joint-venture partners, and acquirers. The duty to verify license compliance is non-delegable. Full enforcement, penalty, and joint-and-several liability terms are set forth in docs/COMMERCIAL_LICENSE.md, Sections 12, 13, and 14. ================================================================================ GOVERNING LAW & JURISDICTION ================================================================================ This License and any dispute arising out of or relating to it shall be governed by the laws of the Republic of India, without regard to its conflict-of-laws principles.
